Welcome to the Axiom RESN8 Network. These Terms of Use (“Terms”) govern your access to and use of the Axiom RESN8 Network (the “Network”) provided by Axiom Design Group, LLC (“we,” “our,” or “us”). By accessing or using our Network, you agree to comply with and be bound by these Terms.

1. Acceptance of Terms
By accessing or using the Network, you confirm that you have read, understood, and agree to be bound by these Terms, as well as any applicable laws and regulations. If you do not agree with these Terms, you may not use the Network.

2. Eligibility
To use the Network, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Network, you represent and warrant that you meet these requirements.

3. Advertiser Account
3.1 Account Registration: To access certain features of the Network, you may need to create an advertiser account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Advertising Content
4.1 Content Standards: You agree that all advertising content you submit to the Network (“Content”) will comply with all applicable laws, regulations, and guidelines, and will not infringe on any third-party rights.

4.2 Prohibited Content: You may not submit Content that is illegal, offensive, misleading, or harmful. This includes, but is not limited to, content that promotes violence, discrimination, hate speech, or any illegal activities.

4.3 Approval and Rejection: All Content is subject to our review and approval. We reserve the right to reject or remove any Content at our discretion without notice.

5. Fees and Payments
5.1 Payment Terms: You agree to pay all fees and charges associated with your advertising account according to the payment terms specified at the time of purchase. Payments will be automatically deducted from the card on file that was used to set up the account.

5.2 Automatic Deductions: Payments will be deducted in monthly installments, exactly one month from each previous installment. You are responsible for ensuring that your payment information is current and that you have sufficient funds to cover the payments.

5.3 Late Payments: Failure to pay any fees when due may result in the suspension or termination of your account.

6. Intellectual Property
6.1 Ownership: We retain all rights, title, and interest in and to the Network and its content, including all intellectual property rights.

6.2 License: By submitting Content to the Network, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your Content in connection with the operation of the Network.

7. Privacy
Your use of the Network is also governed by our Privacy Policy, which can be found at www.captiv8usa.com/privacy.

8. Termination
We may terminate or suspend your account and access to the Network at any time, without prior notice or liability, for any reason, including if you breach these Terms.

9. Disclaimers
The Network is provided “as is” and “as available.” We disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (i) your use or inability to use the Network; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein.

11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles.

12. Changes to Terms
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on the Network. Your continued use of the Network following the posting of changes constitutes your acceptance of such changes.
